Client Service Agreement

Version 3.0 • Effective June 2026

IMPORTANT: No services will commence, and no warranty claims will be honored, until a signed copy of this agreement is on file with EcoEden, LLC. By signing, approving any quote, or accepting any service, you confirm you have read, understood, and agree to all terms in this document.

1. Definitions

  • "EcoEden," "we," "us," or "our" refers to EcoEden, LLC, its owner, officers, employees, agents, and authorized subcontractors.
  • "Client," "you," or "your" refers to the individual or entity engaging EcoEden for services, and any property owner, tenant, or authorized representative on whose behalf services are requested.
  • "Property" refers to the location(s) where services are to be performed, as identified in the applicable quote, proposal, or service record.
  • "Services" refers to any landscaping, organic fertilization, soil health, installation, design, or consulting work performed by EcoEden, whether recurring, one-time, or project-based.
  • "Program" refers to any recurring service plan, including organic fertilization programs billed on a monthly or other periodic cadence.
  • "Agreement" refers to this Client Service Agreement together with any quote, proposal, or written addendum accepted by the Client, all of which are incorporated by reference.

2. Service Commitment

EcoEden, LLC is committed to delivering professional landscaping, organic soil health, and fertilization services that meet or exceed industry standards. Our services include, but are not limited to: recurring lawn maintenance, organic fertilization programs, landscape installation and design, soil health restoration, palm and ornamental nutrient correction, and self-sustainability consulting.

Services Expressly Excluded. Unless explicitly stated in a signed addendum, EcoEden does not provide, and is not responsible for: pest, insect, or rodent control; weed control; fungal or plant disease treatment; pruning or canopy work beyond routine maintenance; irrigation system installation or repair; or plant replacement outside of an applicable warranty.

3. Signed Agreement Required Before Work Begins

EcoEden, LLC will not perform any service until a signed copy of this Client Service Agreement is on file. Signing options include digital signature via the EcoEden client portal, DocuSign, or physical signature. Approval of a quote or verbal authorization does not constitute a signed agreement. However, any work begun at the Client's request without a signed agreement remains subject to all terms herein.

4. Communication & Client Responsibilities

All service-related requests, changes, or concerns must be submitted through the client portal or in writing within twenty-four (24) hours of a scheduled visit. It is the Client's responsibility to maintain current and accurate contact information. EcoEden is not responsible for missed communications resulting from outdated contact information on file.

5. Organic Fertilization Programs

EcoEden, LLC applies a proprietary liquid concentrate fertilization system formulated for Florida's soil and climate. All products are applied at or below label rates in accordance with GI-BMP standards. Clients acknowledge:

  • Organic fertilizers build soil biology over time. Results are cumulative — not immediate.
  • Clients transitioning from synthetic programs may experience an adjustment period before visible improvement occurs.
  • EcoEden does not guarantee specific timelines for visual results, as outcomes are influenced by soil condition, irrigation, pest pressure, sunlight, and weather.

Fertilizer Blackout Compliance

During the seasonal restricted-application period (June 1 through September 30), EcoEden does not apply nitrogen or phosphorus in regulated areas per Pinellas County ordinance. Eligible properties are serviced with EcoEden's Blackout Formula during this window.

Monthly Written Reports

All active fertilization program clients receive a written monthly report documenting products applied, application rates, target areas, observed conditions, progress notes, and care recommendations.

6. Renderings & Design Visualizations

Any renderings or design mockups provided with a quote are artistic interpretations only — not contractual representations of the final outcome. Plant species, sizes, colors, and proportions may differ based on availability and site conditions. The final scope of work is governed exclusively by the written quote accepted by the Client.

7. Scheduling, Weather & Holiday Delays

Services delayed due to rain, severe weather, or holiday observances will be rescheduled to the next available business day. EcoEden is not liable for delays caused by weather, Acts of God, or other events outside its reasonable control.

8. Cancellation & Rescheduling

A minimum of forty-eight (48) hours' written notice is required for all cancellations or rescheduling requests. Cancellations with less than 48 hours' notice will be charged 50% of the scheduled service cost. Same-day cancellations will be charged the full service rate. No refunds or credits will be issued for skipped or cancelled recurring visits.

Either party may terminate a recurring Program with fourteen (14) days' written notice. EcoEden may suspend or terminate services immediately for non-payment, unsafe conditions, abusive conduct, or material breach of this Agreement.

9. Payments, Billing & Outstanding Balances

Invoices for recurring services are due within seven (7) days of the invoice date. A 10% late fee applies to invoices not paid within this window. By providing a payment method, the Client authorizes EcoEden to charge that method immediately upon completion of any service.

Accounts unpaid beyond thirty (30) days may be referred to collections. Past-due balances may accrue interest at 1.5% per month (18% per annum), or the maximum rate permitted by Florida law.

10. Site Preparation — Debris, Gates & Pets

Clients are responsible for clearing all personal items, debris, and pet waste from service areas prior to each visit. All gates must be unlocked and accessible. Pets must be secured during service visits. EcoEden is not liable for pet escapes due to gate latching failures absent documented negligence.

For work involving soil disturbance or installation, the Client is responsible for disclosing the location of all private underground utilities, irrigation lines, and similar improvements. EcoEden is not liable for damage to undisclosed or mismarked private underground installations.

11. Green Debris & Disposal

All green debris generated during service will be mulched on-site or removed unless otherwise specified. EcoEden does not remove non-organic debris or storm-dumped material unless previously arranged and priced accordingly.

12. Sod & Landscape Installation Warranty

Sod Warranty: 30-day limited warranty on sod installations, covering up to 10 square yards per pallet that fails to survive, provided proper watering has been maintained.

Landscape Warranty: 30-day full replacement warranty on all plants, shrubs, and trees purchased and installed by EcoEden. A 50% replacement credit is available between 31–90 days post-installation. Relocating any installed plant material voids all warranty coverage.

Warranty Void Conditions include: improper watering; no active irrigation system; pest or animal damage; application of pesticides or fertilizers by Client or third parties; Acts of God; any outstanding account balance; failure to notify EcoEden within the warranty period; or warranty claims without photographic documentation.

13. Plant & Lawn Health Disclaimer

EcoEden is not responsible for deterioration of lawn or plant health resulting from conditions outside our direct scope of service, including pre-existing poor soil conditions, insufficient or excessive irrigation, pest infestations, disease, root damage, or application of products by Client or third parties.

14. Property Damage

EcoEden takes care to protect Client property during all service visits. EcoEden is not liable for damage caused by hidden debris or undisclosed obstructions. Damage resulting from documented crew negligence will be assessed and repaired at EcoEden's expense. All damage claims must be reported in writing within twenty-four (24) hours of the service visit.

15. Limitation of Liability

To the fullest extent permitted by Florida law, EcoEden's total liability shall not exceed the total amount paid by the Client for the specific service giving rise to the claim during the three (3) months immediately preceding the event. EcoEden shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages of any kind.

16. Indemnification & Insurance

The Client agrees to indemnify and hold harmless EcoEden, LLC from any claims arising from the Client's breach of this Agreement, inaccurate information provided by the Client, conditions on the Property not caused by EcoEden, or injury to third parties within the Client's control. EcoEden maintains general liability insurance consistent with Florida industry requirements.

17. Service Disputes & Arbitration

Incomplete or unsatisfactory service must be reported in writing within twenty-four (24) hours. EcoEden will dispatch a crew to correct the issue at no additional charge. Complaints after the 24-hour window will be addressed at the next scheduled visit.

In the event of a dispute, the parties agree to first attempt resolution in good faith. If unresolved within fifteen (15) calendar days, the dispute shall be submitted to binding arbitration in Pinellas County, Florida under AAA rules. The Client waives the right to pursue claims in a class action proceeding.

18. Recurring vs. One-Time Services

Recurring clients receive priority scheduling, consistent crew assignments where possible, and preferred service rates. All recurring agreements are subject to periodic rate reviews with advance written notice. Continued service following such notice constitutes acceptance of the revised rate.

19. Force Majeure

EcoEden shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including hurricanes, flooding, drought, extreme heat, governmental orders, watering restrictions, or other Acts of God. Affected services will be rescheduled rather than refunded.

20. Privacy & Photo Documentation

All personal information collected by EcoEden is used solely for the purpose of providing and improving services. Client information is never sold to third parties. EcoEden may use de-identified photographs of plants, turf, and landscape results for educational content and marketing. Clients may opt out of photo use beyond their own service record at any time in writing.

21. General Provisions

This Agreement is governed by the laws of the State of Florida. Exclusive venue for any permitted legal action shall be the state courts in Pinellas County, Florida. This Agreement constitutes the entire agreement between the parties. If any provision is found unenforceable, all remaining provisions remain in full force.

22. Agreement & Acknowledgment

By signing, the Client confirms they have read, understood, and agreed to all terms, including the Limitation of Liability (Section 15), Indemnification (Section 16), and binding Arbitration and class-action waiver (Section 17).
